# Terms of sale

How CLAQON is purchased between businesses and professionals, with a written proposal and a signed contract. CLAQON is currently in pre-registration and this website does not sell or charge for anything.

In force since 13 October 2026

Planned terms for when CLAQON goes on sale. Today the website only takes pre-registrations: it does not sell or charge anything. If you do sign up, we will give you the contract before you sign, and that contract is what will bind you.

Courtesy translation: in case of discrepancy, the Spanish version prevails. [Español](https://claqon.com/legal/condiciones-de-contratacion/)

These terms of sale explain what you can purchase in relation to CLAQON, how, at what price and with what obligations for each party. They apply to the pilot programme, the licence and the services, such as the done-for-you setup.

Current status

CLAQON is in [pre-registration](https://claqon.com/en/pre-registration/), with limited places in its early access programme. Pre-registering does not commit you to anything or involve any payment. When a place is available, we will send you a written proposal and, if you accept it, we will sign the contract.

## Only between businesses and professionals

- **Who we sell to.** Only to professionals and businesses with a tax identification number, for example an NIF in Spain or an RFC in Mexico. We do not sell to consumers.
- **What forms part of the contract.** The written proposal you accept, the contract, the [licence](https://claqon.com/en/legal/license/), the [acceptable use policy](https://claqon.com/en/legal/acceptable-use/) and, if we access your installation, the [data processing agreement](https://claqon.com/en/legal/data-processing/). These general terms also form part of it, except where the proposal or the contract says otherwise.
- **Always available.** We will give you these terms with the proposal, in a format you can save and print, and they will always be on this page, as required by the LSSI-CE (Article 27(4)) and Law 7/1998 on general terms and conditions of contract.

## What you can purchase

### Licence

A licence to use CLAQON per installation, with a plan based on the number of channels (Essential, Professional or Agency) set in the contract, annual or monthly billing and, if you need them, add-ons for the modules your plan does not include. It includes signed updates and email support while it is valid. If you do not renew, you keep the installed version. The details are in the [licence](https://claqon.com/en/legal/license/).

### Done-for-you setup

Together with you, we prepare the machine or the server in your name, the Google, Meta and X connections, your accounts and keys, and we produce your first video with you. It is done via a remote session and under a data processing agreement. It is invoiced separately from the licence. More information in [done-for-you setup](https://claqon.com/en/done-for-you-setup/).

### Pilot programme

A supported start-up period, with limited places because each installation is closely monitored. The proposal sets its duration, its price and the channels it includes. It normally comprises:

- the done-for-you setup on your machine or on a server in your name;
- guided registration of your Google and Meta apps and the start of preparations for the YouTube API audit;
- configuration of the production of informational shorts with sources;
- signed updates during the pilot and email support;
- a monthly report with the slots published, the cost per piece, the unsourced figures and the support hours.

AI characters, the Commentary Room, Tinta and stream clips are excluded from the pilot or, at most, offered as an unverified beta. TikTok is not included: CLAQON does not publish there today.

### What it does not include

- The machine or the server, which you arrange yourself, in your name. Unless the proposal says otherwise, we do not host your installation or operate your server. The ways of running it with a server included are in preparation, as shown on the [pricing page](https://claqon.com/en/pricing/#formas-de-uso).
- What you consume with your providers (AI models, voice, image, video, the X API and others), which you pay directly to each one with your keys.
- The fees, rates or subscriptions for other services you use, such as Docker Desktop if its terms require it.

## How contracting works, step by step

1. **Pre-registration.** You write to us from [pre-registration](https://claqon.com/en/pre-registration/) or [contact](https://claqon.com/en/contact/).
2. **Conversation.** We see whether CLAQON fits your case. If it does not, we will tell you.
3. **Written proposal.** We send you the scope, the price, the timescales and, for the pilot, the success criteria.
4. **Review.** Before signing, you can ask us to correct any detail or error in the proposal. We will send you the final version for you to review.
5. **Signature.** We sign the contract, the licence and, if we are going to access your installation, the data processing agreement.
6. **Invoice and payment,** as set out in the proposal.
7. **Installation and start-up.**

We contract in Spanish. We keep the signed contract and give you a copy; you can ask us for another at any time.

## Price

- **Indicative launch prices.** The [pricing page](https://claqon.com/en/pricing/) publishes indicative launch prices by plan, add-on, way of running it and service, excluding tax and for businesses and professionals. They are not a binding offer: the price that applies is the one in the written proposal you accept, according to the plan, channels, add-ons and services you purchase. If they change before launch, we will tell everyone who pre-registered first.
- **Founder price.** Those who pre-register before launch and sign within 30 days of receiving their proposal get the discount shown on the pricing page on the licence and add-ons, for the period shown and with annual billing. It does not apply to services. The exact terms are set out in the proposal.
- **No surprises.** The proposal is fixed and in writing before you start. There are no credits or automatic top-ups.
- **Taxes not included.** Prices are stated exclusive of taxes, unless the proposal says otherwise.

## Invoicing and payment

- Invoice issued directly by the owner of CLAQON, Cristian David Valencia Calvo, with their tax ID (NIF).
- Payment by bank transfer or through a payment gateway, as indicated in the proposal.
- We do not charge anything before the contract is signed.
- Payment terms and the consequences of late payment are set in the proposal and in the contract. Technical suspension of the licence is only used in the event of non-payment and with prior notice, as explained in the [licence](https://claqon.com/en/legal/license/#suspension).

## Taxes

We apply the taxes that are due under the regulations in force and according to your company’s country:

- **Businesses and professionals in Spain:** VAT at the standard rate, currently 21%.
- **Businesses in other European Union countries with a valid intra-Community VAT number:** invoice without Spanish VAT, under the reverse charge. Your company accounts for the VAT in its own country.
- **Businesses outside the European Union, such as in Mexico:** the transaction is not subject to Spanish VAT. You handle any taxes due in your country, in accordance with its regulations.
- **Withholding tax:** if the law requires your company to withhold tax from the invoice, the invoice will show it.

If the regulations change, we will apply those in force on the date of each invoice.

## No right of withdrawal

As contracting takes place only between businesses and professionals, the right of withdrawal provided for consumers does not apply. To terminate early, unless the proposal says otherwise:

- **Monthly licence:** you can cancel it whenever you like, with effect from the end of the month already paid for.
- **Annual licence:** it lasts for the year purchased and the unused part is not refunded, unless the contract ends because of a breach on our part: in that case, we refund the proportional part.
- **Pilot:** either party may terminate it by giving 15 days’ notice in writing. What has been provided up to that date is paid for.
- **Breach:** either party may terminate the contract if the other breaches an essential obligation and does not remedy it within 15 days of being asked to do so in writing.

## The pilot, with written success criteria

- **Process criteria, in writing.** Before starting, we agree on objective, measurable criteria, for example that the installation publishes in its slots without intervention for an agreed period and that the cost per piece does not exceed the agreed cap.
- **Never audience criteria.** No success criterion is based on views, income, subscribers or monetisation.
- **YouTube, separately.** Until your Google project passes the YouTube API audit, YouTube keeps videos uploaded through the API private. Making videos public on YouTube is measured separately and does not count against the pilot.
- **When it ends, you decide.** You choose between taking out the licence or uninstalling CLAQON, and we help you export your data.
- **Your case, only with permission.** If you agree to us documenting your case, we will do so only with your written authorisation and with the data you approve.

## Your obligations

- Be a professional or a business and give us accurate details for the proposal, the contract and the invoice.
- Have a machine switched on during your production slots or a server rented in your name.
- Provide your own accounts, apps and keys for providers and platforms, and pay for what they consume. We do not share keys between customers.
- Have a contact person who can review and decide; during the pilot, for at least one hour a week.
- Sign the contract, the licence and, where applicable, the data processing agreement.
- Comply with the [acceptable use policy](https://claqon.com/en/legal/acceptable-use/) and the platforms’ rules, disclose synthetic content where required and hold the rights to what you publish.
- Pay invoices within the agreed time limits.

## Our obligations

- Deliver what the proposal states, within the agreed timescales.
- Access your installation only under a data processing agreement, following your instructions and with due confidentiality.
- Maintain signed updates and email support while the licence is valid.
- Notify you of security fixes that affect you.
- Not use your channels’ data to improve the product without a contractual basis.

## Timescales

The installation and start-up dates are set in the proposal. Some depend on third parties: the review of your apps by Google or Meta and the YouTube API audit have no fixed timescale and do not depend on us. If a delay caused by third parties affects the schedule, we will replan it with you in writing.

## Warranties

We warrant that the licensed version works substantially as described in its documentation and that we will fix, through updates, the defects we are able to reproduce while the licence is valid. If a serious defect cannot be fixed within a reasonable time, you may terminate the licence and we will refund the proportional part of what you have paid.

We do not warrant audience results, the approval of your apps or audits by the platforms, or the operation of third-party services.

**Limitation of liability.** Our total liability under the contract is limited to what you have paid us in the 12 months before the event giving rise to it. We are not liable for loss of profits, loss of income or audience or other indirect damage, nor for loss of data that a reasonable backup would have prevented. These limits do not apply to wilful misconduct or gross negligence, or to anything the law does not allow to be limited. The details are in the [licence](https://claqon.com/en/legal/license/#responsabilidad).

## Complaints

If something does not work as agreed, write to us at soporte@claqon.com explaining the problem. We will try to resolve it with you first of all.

## Governing law and jurisdiction

The contract and these terms are governed by Spanish law, even if your company is in Mexico or in another country. For any dispute, the parties submit to the courts of Huelva (Spain), unless a mandatory rule provides otherwise.
