# CLAQON licence terms

A summary of the planned user licence for businesses and professionals. The text that will bind you will be that of the contract and the licence we sign with you.

In force since 13 October 2026

Planned terms for when CLAQON goes on sale. Today the website only takes pre-registrations: it does not sell or charge anything. If you do sign up, we will give you the contract before you sign, and that contract is what will bind you.

Courtesy translation: in case of discrepancy, the Spanish version prevails. [Español](https://claqon.com/legal/licencia/)

This page summarises the terms of the CLAQON licence: what we grant you, what it includes, what happens if you do not renew and what is up to you. We have written it so that you know where you stand before asking for a proposal.

A summary, not the contract

The licence agreement (EULA) for businesses is provided with the proposal, before you sign. If this summary and the signed contract differ, the contract prevails. The purchase terms are in the [terms of sale](https://claqon.com/en/legal/terms-of-sale/).

## Who can be a licensee

CLAQON is only licensed to professionals and businesses with a tax identification number, for example an NIF in Spain or an RFC in Mexico. It is not sold to consumers. Whoever signs the contract is the licensee and is responsible for the use made of their installation.

## What we grant you

- **A licence to use** the CLAQON software: annual, non-exclusive and non-transferable, in the version stated in your order.
- **For one installation.** Each licence is issued for a specific installation, which is recognised by its factory identifier: a unique code you will see in the panel. One installation, one licence.
- **With a channel tier.** The number of channels you can operate is set in the contract, according to the tier purchased.
- **No source code.** CLAQON is proprietary, closed-source software. The licence does not transfer its ownership or its source code to you, except as provided by the licences of third-party components.
- **No resale.** You may not resell, sublicense or offer CLAQON as a service to third parties without a distribution agreement with the owner.
- **With your name in the panel.** On first start-up you enter your company name and the name under which you want to see the panel; the CLAQON symbol remains. This feature is in beta.

## Installation, copies and moving

- **Where.** You install CLAQON on your machine, with Windows or Linux and Docker, or on a server rented in your name. We do not host your installation or operate your server. If you prefer, the [done-for-you setup](https://claqon.com/en/done-for-you-setup/) is purchased separately.
- **Backups.** You may make the backups you need in order to use the software. This is a right recognised by Article 100(2) of the Spanish Intellectual Property Act (Ley de Propiedad Intelectual), and the licence does not restrict it. The software itself makes encrypted backups and restores them.
- **Moving.** You may move the installation to another machine or server of yours. The licence moves to the new machine and the previous installation stops producing.
- **A licence is not shared.** You may not use the same licence on two installations at the same time. The licence server recognises cloned copies of an installation and rejects them.

## Updates and support

While your licence is valid:

- **You receive signed updates.** Each new version is digitally signed. Your installation checks the signature before applying it, and the updater reverts to the previous version if something fails before the update is complete.
- **You have email support.** We will publish the response time once we have measured it in the first pilots.
- **You receive the security fixes** we publish for your version, in line with our [vulnerability disclosure policy](https://claqon.com/en/legal/vulnerability-disclosure/).
- **Published support period.** We will publish the security support period for each version. Once the Cyber Resilience Act applies, on 11 December 2027, it will be at least five years, unless the expected lifetime of the product is shorter, as that regulation allows.

## If you do not renew

- **You keep the installed version** and can continue using it.
- **You stop receiving** updates, fixes and support.
- **Your data is yours.** The licence never deletes your data or your backups, nor does it switch on your production workflows by itself.
- **The emergency exits do not depend on the licence:** restoring a backup, cancelling a move or pausing automation always work.

## Suspension for non-payment

The licence allows production at an installation to be suspended remotely. We will only use that option in the event of non-payment, after notifying you in writing and giving you 15 days to pay.

If it were ever applied, the suspension stops automatic production and the creation of new videos, but it does not delete data, does not block backups or the emergency exits, and still lets you view the panel. Once you have paid, you restart production yourself. We will never use remote suspension for any other reason: a breach other than non-payment is dealt with through the channels provided in the contract.

## How the licence is checked

- **With digital signatures.** The licence is a signed document that your installation verifies. It is not a copy-protection system (DRM) and does not prevent you from making backups.
- **With a short report.** On start-up and then approximately every 6 hours, or every minute if your licence requires periodic authorisation, your installation checks its licence and sends a report with a closed list of technical data: version, operating system, number of accounts, whether production is active, dates of the last backup and of the last update, the name you gave the installation and your company. The server records the IP address of the connection. The full list is in the [privacy policy](https://claqon.com/en/legal/privacy/#licencias).
- **Never with your content.** The report does not include your videos, your texts, your keys or data about your audience. We do not use your channels’ data to improve the product without a contractual basis.
- **If our server does not respond.** Your installation keeps the stored licence: a network failure does not invalidate it. If your installation was made with a sealed installer, it also needs periodic authorisation from the licence server in order to produce; if it does not obtain it, it pauses production until it gets it back, without deleting anything. Paid licences will have an offline grace period of at least 24 hours before that pause; the contract may extend it.

## Your responsibilities

- **Your keys and accounts.** You provide your own provider keys and your own accounts and apps on the platforms (for example, your Google project for YouTube). You are responsible for keeping them safe and for what they cost.
- **Platform quotas and limits.** CLAQON does not guarantee API quotas or the approval of your apps or audits. For example, until your Google project passes the YouTube API audit, YouTube keeps videos uploaded through the API private.
- **Platform policies.** Complying with the rules of YouTube, Meta, X and the other services regarding your channels, including those on inauthentic content and spam, is your responsibility. CLAQON applies controls, but it does not guarantee that a platform will accept a piece of content.
- **Your content.** You are responsible for what you produce and publish and for the rights to the materials you provide: sources, music, videos, images and voices.
- **AI labelling.** Disclosing synthetic content on each platform and complying with the obligations of Article 50(4) of the AI Act regarding what you publish is up to you. The machine-readable marking under Article 50(2) is the owner’s responsibility as provider, and CLAQON will apply it to its synthetic outputs. More details on the [AI transparency](https://claqon.com/en/legal/ai-transparency/) page.
- **Acceptable use.** Using CLAQON in accordance with the [acceptable use policy](https://claqon.com/en/legal/acceptable-use/).
- **Your machine.** Keeping the machine or server switched on during your production slots, secure and backed up.
- **Your providers’ costs.** CLAQON calculates and limits spending with your caps, but its amounts are usage estimates, not invoices: what you pay is set by each provider.

## Third-party services and components

- **Platforms and providers.** To use CLAQON with YouTube, Meta (Instagram and Facebook), X, AI providers and the other services, you accept their terms and policies. If you connect YouTube, you are bound by the [YouTube Terms of Service](https://www.youtube.com/t/terms) and the [YouTube API Services Developer Policies](https://developers.google.com/youtube/terms/developer-policies), and your installation needs its own privacy policy that links to the [Google Privacy Policy](https://policies.google.com/privacy).
- **Components with their own licences.** CLAQON includes or requires third-party components with their own licences, such as Docker, FFmpeg and other open-source components. Those licences apply to each component and, for that component, prevail over this one. If you use Docker Desktop, check its licence terms.
- **List of components.** Each version will come with the list of third-party components and their licences. Where a component’s licence requires its source code to be offered, we will offer it.
- **Voices, music and effects.** The edition licensed to customers will only include voices, music and effects whose licence permits commercial use.

## Warranties and liability

- **What we do warrant.** That the licensed version works substantially as described in its documentation and that we will fix, through updates, the defects we are able to reproduce.
- **What we do not warrant.** Views, income, subscribers, monetisation or any other audience result; the approval of your apps or audits by the platforms; or the operation of third-party services. Features marked as beta are delivered as such.
- **Limitation of liability.** Our total liability under the licence is limited to what you have paid us in the 12 months before the event giving rise to it. We are not liable for loss of profits, loss of income or audience or other indirect damage, nor for loss of data that a reasonable backup would have prevented.
- **What is not limited.** These limits do not apply to wilful misconduct or gross negligence, or to anything the law does not allow to be limited, such as liability for defective products towards natural persons who suffer personal injury or damage to property for private use, which Directive (EU) 2024/2853 extends to software placed on the market from 9 December 2026.

## Governing law and jurisdiction

The licence is governed by Spanish law, even if your company is in Mexico or in another country. For any dispute, the parties submit to the courts of Huelva (Spain), unless a mandatory rule provides otherwise.
